Welcome to HatchTechs UK. These Terms of Service ("Terms") govern your access to and use of our websites, software, platforms, and services (“Services”). By using our Services, you agree to be legally bound by these Terms.

If you do not agree with these Terms, please do not use our Services.

HatchTechs UK is a digital solutions provider offering software development, call centre operations, business support, and digital transformation services. Our registered office is in the United Kingdom.

You may use our Services only in accordance with these Terms and applicable UK laws. You agree not to:

• Use our Services for unlawful, fraudulent, or harmful activities
• Infringe upon the intellectual property or privacy rights of others
• Attempt to interfere with or compromise our systems or security features
• Upload or transmit any malicious code, viruses, or harmful content

You are responsible for maintaining the confidentiality of any login credentials and for all activity under your account.

To ensure successful delivery of our services, clients agree to:

• Provide accurate, complete, and up-to-date information
• Respond to communications in a timely manner
• Make payments in accordance with agreed terms
• Refrain from abusive, offensive, or unlawful conduct toward our team

Failure to meet these obligations may result in suspension or termination of services.

Unless otherwise agreed in writing:

• All services are quoted exclusive of VAT
• Invoices are due within 14 calendar days of issue
• Late payments may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998
• We reserve the right to suspend or discontinue services for non-payment

All intellectual property rights in the software, code, materials, and content provided by HatchTechs UK remain our exclusive property or that of our licensors.

Clients receive a non-exclusive, non-transferable, revocable licence to use deliverables strictly for internal business purposes unless otherwise agreed.

Each party agrees to keep all confidential information disclosed by the other party secure and not disclose it to any third party without prior written consent, except where required by law.

This obligation continues for two (2) years following the end of the business relationship.

HatchTechs UK processes personal data in accordance with the UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for details on how we handle and protect your data.

By using our services, you confirm that you have obtained all necessary consents and legal authority to share personal data with us.

While we strive for continuous availability, we do not guarantee that our Services will always be available or error-free. We may suspend access for maintenance, security, or operational reasons.

Either party may terminate the agreement:

• With 30 days’ written notice for convenience
• Immediately, if the other party commits a material breach that is not remedied within 14 days of notice
• If insolvency or legal proceedings prevent either party from continuing operations

Upon termination, all unpaid fees become immediately due, and access to Services will cease.

To the fullest extent permitted by UK law:

• We exclude all warranties, express or implied, including those of merchantability or fitness for a particular purpose
• HatchTechs UK is not liable for indirect, incidental, or consequential losses (e.g., loss of profits, business, or data)
• Our total liability under these Terms shall not exceed the total amount paid by you in the 6 months preceding the claim
• Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Our Services may contain links or integrations with third-party platforms. We are not responsible for the content, policies, or reliability of third-party services. Use of such platforms is at your own risk and governed by their own terms.

We may update these Terms from time to time to reflect legal, operational, or service changes. Any material changes will be notified via email or our website. Continued use of our Services after changes implies acceptance.

These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
